Justification Narrative The University requires a Copyright Licensing Agency (CLA) Higher Education Licence to lawfully support the copying, digitisation, storage and distribution of copyrighted extracts from books, journals, magazines and certain digital publications for teaching, learning, administration and research purposes. The CLA Licence is not a discretionary subscription but the legal mechanism enabling the University to comply with copyright law. CLA is the sole collective licensing organisation in the UK authorised by participating publishers and authors to grant these permissions in the higher education sector. No alternative supplier can provide an equivalent licence covering the same copyright repertoire and permissions. The procurement therefore falls within the direct award provisions relating to exclusive copyright and intellectual property rights under Schedule 5, Paragraph 5 of the Act. 3. Reasons for Direct Award The University has determined that: CLA holds exclusive rights to grant the copyright permissions required. No reasonable alternative supplier exists for this requirement. Failure to secure the licence would place the University in breach of copyright law.

Following this assessment, it was determined that Regulation 14 applied because immediate contractual arrangements were necessary to secure service continuity pending completion of a longer-term procurement process. The contract was awarded for an initial period of three months from 1 July 2026 to 30 September 2026, with the option to extend for two further periods of three months if required. The maximum potential contract term is therefore nine months. As the total contract length does not exceed 12 months, no further justification regarding contract duration is required. There were no conflicts of interest identified among the decision-making group. All members present were asked to declare any actual, potential or perceived conflicts of interest in accordance with NCL ICB governance arrangements, and no conflicts of interest were declared. Consequently, no specific mitigating actions were required, and all members were able to participate fully in the discussions and decision-making process.

While a compliant tender was received and awarded for Lot 2 (Rough Sleeping Initiative Beds), no tenders were received for Lot 1. Consequently, the Council was unable to award the contract through the competitive procedure, and an award under Section 19 of the Procurement Act 2023 is not possible. The Council continues to require the Safe to Stay Hub service to support its statutory homelessness prevention responsibilities and delivery of grant-funded services. Following the unsuccessful competition, the Council intends to directly award the contract to Anglia Care Trust, which is not an excluded supplier and has demonstrated its capability to deliver the requirement through its existing homelessness accommodation services and the availability of suitable accommodation meeting the original specification. The direct award will ensure the timely continuation of a critical homelessness prevention service and supports the procurement objectives set out in Section 12 of the Procurement Act 2023, including the delivery of public benefit and value for money.
